1. Definitions and Scope

Aethron Technologies ("we", "us", "our") is a Belgian technology company based in Belgium, subject to Belgian law.

These terms of service apply to all services, quotes, agreements, and deliveries by Aethron Technologies. By using our services, you agree to these terms.

2. Services

Aethron Technologies provides the following services:

  • Software development: Custom software solutions
  • IT consultancy: Strategic advice and technical guidance
  • System integration: Implementation and integration of IT systems
  • Maintenance and support: Technical support and maintenance
  • Training and guidance: Education and knowledge transfer

All services are performed according to the highest professional standards and best practices in the IT sector.

3. Quotes and Agreements

3.1 Quotes

  • All quotes are non-binding and valid for 30 days
  • Prices are exclusive of VAT unless otherwise stated
  • Quotes are based on information provided by the client

3.2 Formation of agreement

  • An agreement is formed through written confirmation by both parties
  • Changes are only valid if agreed upon in writing
  • Oral agreements are binding only after written confirmation

4. Service Execution

4.1 Due care

We perform all work with the care expected from a professional IT company, in accordance with:

  • Applicable Belgian and European legislation
  • Recognized industry standards (ISO, ITIL, Agile)
  • Best practices for software development and IT security

4.2 Client cooperation

The client provides:

  • Timely provision of necessary information and materials
  • Access to relevant systems and data
  • Availability of contact persons
  • Compliance with agreed procedures and security requirements

5. Delivery Times and Deadlines

  • Delivery times are indicative and based on normal circumstances
  • Delays due to force majeure or caused by the client are at the client's expense
  • We inform the client promptly of foreseeable delays
  • Exceeding delivery times does not give right to compensation

6. Prices and Payment

6.1 Prices

  • All prices are in euros and exclusive of VAT
  • For multi-year agreements, prices may be adjusted annually
  • Additional work will be invoiced separately

6.2 Invoicing and payment

  • Invoices are payable within 30 days of invoice date
  • In case of late payment, we are entitled to charge interest (1% per month)
  • Collection costs are at the client's expense
  • Advance payment may be requested for new clients

7. Intellectual Property

7.1 Copyrights

All intellectual property rights in software, documentation, and materials developed by us remain with Aethron Technologies, unless otherwise agreed in writing.

7.2 Usage rights

  • The client obtains a non-exclusive right of use
  • Usage rights are not transferable without our consent
  • Upon termination of the agreement, all usage rights expire

7.3 Source code

Transfer of source code only occurs upon explicit agreement and payment of an additional fee.

8. Warranty and Maintenance

8.1 Warranty

  • We guarantee that delivered software meets agreed specifications
  • Warranty period: 3 months after delivery for development projects
  • Warranty is void in case of improper use or modifications by third parties

8.2 Maintenance

  • Maintenance contracts are agreed separately
  • Maintenance includes bug fixes, updates, and technical support
  • New functionalities fall outside standard maintenance

9. Liability

9.1 Limitation of liability

Our liability is limited to:

  • Direct damage up to a maximum of the invoiced amount for the relevant assignment
  • Damage covered by our professional liability insurance

9.2 Excluded damage

We are not liable for:

  • Indirect damage, consequential damage, or business damage
  • Damage from use of software/hardware not approved by us
  • Damage from improper use or negligence by the client
  • Damage from force majeure or third parties

10. Confidentiality and Data Protection

10.1 Confidentiality

We treat all client information strictly confidentially in accordance with:

  • Belgian legislation regarding professional secrecy
  • GDPR for personal data
  • Any additional confidentiality agreements

10.2 Data processing

For the processing of personal data, we refer to our privacy policy.

11. Force Majeure

Force majeure includes but is not limited to:

  • Natural disasters, war, terrorism
  • Government measures, strikes
  • Cyber attacks, internet outages
  • Failure of essential services or suppliers
  • Pandemics and similar circumstances

In case of force majeure, we are entitled to suspend execution without being liable for damages.

12. Termination

12.1 Termination

  • Ongoing agreements may be terminated by both parties with a notice period of 3 months
  • Termination must be in writing (email is acceptable)

12.2 Dissolution

We may dissolve the agreement with immediate effect in case of:

  • Serious breach of contract by the client
  • Non-payment after notice of default
  • Bankruptcy or suspension of payments of the client

13. Dispute Resolution

13.1 Applicable law

Belgian law applies to all agreements.

13.2 Competent court

All disputes will be submitted to the competent Belgian courts.

13.3 Mediation

Parties will first attempt to resolve disputes through mediation before going to court.

14. Final Provisions

14.1 Changes

We reserve the right to modify these terms of service. Changes will be announced 30 days in advance.

14.2 Invalidity

If a provision is invalid or voidable, the remaining provisions remain in force.

14.3 Transfer

The client cannot transfer rights and obligations without our written consent.
